Board Resolutions
Eqvista is a very user-friendly app to use. In addition to setting up your company’s cap table and monitoring all the equity in your company, it can also handle your company’s meetings and board resolutions.
In short, you can use Eqvista to note down all the board resolutions and share them with your company shareholders.
Here is the step-by-step process of how to do it:
Step 1: Log in to the application and select your company account.
From here, on the left side menu of the dashboard, click on “Admin Records” and then on “Board resolutions”.
Step 2: Once you do this, you will reach the following page. In case your company doesn’t have any resolution, you will see the message saying “No board resolution has been created yet”. On this page, click on “Create Resolution” to create a new resolution.
Step 3: Once you do this, you will reach the next page. Add in the details of the board resolution in the available space. You can also attach a document using the button on the top right side that says “Attach Document” to support the resolution you are creating.
Once done, click on “Next”.
Step 4: You will be directed to the next page to set up the approvers of the board resolution, which adds the founders automatically through the app as shown below.
In this case, you can see a tick on the side of the founder who has access to the cap table.
You can also “untick” those who are not the approvers.
Moreover, you can also search for other approvers to add to the list. The names that usually show up are the ones who have shared access.
In case, you have an investor who is also on the board group, you can click on the button “Extra Approvers” and search for their name. The results of the search show only those with shared access.
Note: The shareholders who have access to the cap table can only be added as the approvers. So, ensure that you share access with them.
Once you have done this and selected all the approvers, click on “Next”.
Step 5: You will reach the next step where you will have to add the expiry date of the board resolution as per the meeting and add an email message for the board members who will get the board resolution and place their votes. You will also have to select the kind of votes you want for this resolution.
You can choose the option open voting (where you see who votes for what) or anonymous voting (where the voter’s name and information are hidden).
In this case, we selected the option of anonymous votes.
Once done, click on “Submit”.
Step 6: When you do this, you will be redirected to the page where you can now see the board resolution of the company.
Step 7: If you click on the board resolution here, you will be taken to the following page where you can see the details of the resolution passed along with the three options – Approve, Decline, and Abstain.
If you are one of the approvers, you will be able to vote for the resolution here too.
Step 8: Suppose you want to download the resolution shared with you. To do so, click on “Actions” on the right-hand side to get the mini drop-down menu. Then, click “Download Consent” to save a copy of the resolution.
Step 9: Once you click “Download Consent”, the resolution gets downloaded as a PDF in your Downloads.
Double-click the PDF file to open the downloaded resolution.
