Role Overview

As the Senior In-House Counsel at Eqvista, Inc., you will be responsible for providing comprehensive legal support and guidance across various aspects of our business. You will oversee legal matters related to equity management, regulatory compliance, contract negotiation, and risk management. This role requires a seasoned legal professional with a deep understanding of equity management and the ability to handle complex legal issues in a demanding and high-paced setting.

Key Responsibilities

  • Legal Counsel: Provide expert legal advice and support to senior management and various departments on a wide range of legal issues, including equity management, regulatory compliance, and corporate governance.
  • Contract Management: Draft, review, and negotiate a variety of contracts, including client agreements, vendor contracts, and partnership agreements. Ensure that all contracts are legally sound and aligned with company objectives.
  • Regulatory Compliance: Oversee and ensure compliance with relevant regulations and industry standards, including SEC regulations, data protection laws, and corporate governance requirements. Manage regulatory filings and interactions with regulatory bodies.
  • Risk Management: Identify and assess legal risks and develop strategies to mitigate those risks. Provide guidance on risk management and compliance issues to safeguard the company’s interests.
  • Litigation Management: Manage and oversee any litigation matters, including working with external counsel, preparing legal documents, and representing the company’s interests in legal proceedings.
  • Corporate Governance: Assist in the development and implementation of corporate governance policies and procedures. Ensure that the company’s governance practices comply with legal and regulatory requirements.
  • Policy Development: Develop and implement legal policies and procedures to support business operations and ensure compliance with legal and regulatory requirements.
  • Training and Development: Provide legal training and guidance to employees on legal matters, including compliance, contracts, and risk management. Promote a culture of legal awareness and compliance within the organization.

Requirements

  • Experience: 10+ years of experience as a corporate attorney or in-house counsel, with a strong background in equity management, regulatory compliance, and contract law. Experience in a high-growth or technology-focused company is preferred.
  • Legal Expertise: Deep knowledge of corporate law, equity management, regulatory requirements, and contract negotiation. Familiarity with SEC regulations and data protection laws.
  • Analytical Skills: Strong analytical and problem-solving skills, with the ability to interpret complex legal issues and provide practical solutions.
  • Communication: Excellent communication skills, with the ability to effectively interact with senior management, internal teams, and external stakeholders. Ability to present legal concepts clearly and persuasively.
  • Organizational Skills: Exceptional organizational and time-management skills, with the ability to manage multiple priorities and meet deadlines in a high-pressure environment.
  • Negotiation Skills: Proven ability to negotiate complex contracts and agreements effectively, balancing legal and business considerations.
  • Education: Juris Doctor (JD) degree from an accredited law school and admission to the bar in [Your Jurisdiction]. Relevant certifications or memberships in professional legal organizations are a plus.
